The success of your German business starts with the decision which legal form you chose for your business in Germany.

The German law allows many different legal forms. Finding the proper legal form depends on many factors. Some of the factors are:

  • How many people are founding the company?
  • Will you perform an independent profession (these are e.g.: doctor, dentist, lawyer, architect, journalist, writer, teacher, scientist, tax accountant, auditor, …)?
  • Should your personal liability be limited?
  • How much capital resources you will invest?
  • Are you willing to publish your annual Financial Statements?

  • Should your business be registered into the Commercial Registry?

The legal forms are roughly distinguished between partnership companies on the one hand and incorporate companies on the other hand. The probably best known legal form of a partnership company is the Gesellschaft bürgerlichen Rechts (GbR). The best know legal form of an incorporate company is the Gesellschaft mit beschränkter Haftung (GmbH).
